TERMS & CONDITIONS
These Terms & Conditions ("Terms") govern your access to and use of the websites, software, platforms, applications, AI-powered services, digital solutions, and other services provided by Pracdia Private Limited ("Pracdia", "we", "us", or "our").
By accessing our website, using any Pracdia service, creating an account, purchasing a service, or using any AI Receptionist or related service provided by Pracdia, you acknowledge that you have read, understood, and agreed to these Terms.
If you do not agree with these Terms, you should not access or use our services.
About Pracdia
Pracdia Private Limited provides technology, digital, marketing, automation, artificial intelligence, communication, and software-related services primarily for doctors, clinics, hospitals, healthcare practices, and other medical businesses.
Our services may include, but are not limited to, website development, digital marketing, online reputation management, patient communication systems, AI-powered receptionists, WhatsApp-based communication systems, appointment-management solutions, patient engagement tools, and other technology services.
Pracdia is a technology and service provider. Pracdia is not a hospital, clinic, doctor, medical practitioner, emergency service, or healthcare provider.
Definitions
For the purposes of these Terms:
"Client" means the doctor, clinic, hospital, healthcare organisation, business, or other entity purchasing or using Pracdia services.
"User" means any individual accessing or interacting with a Pracdia service, including a Client, Client employee, representative, patient, prospective patient, or other person.
"AI Receptionist" means any artificial-intelligence-powered communication or automation system provided by Pracdia that may communicate with patients or other users on behalf of a Client.
"Client Content" means information, data, text, images, documents, treatment information, doctor information, appointment information, pricing information, operating hours, policies, and other material supplied by or on behalf of the Client.
"Third-Party Services" means services, platforms, software, APIs, communication providers, payment providers, hosting providers, messaging platforms, analytics providers, and other external services integrated with or used by Pracdia.
Eligibility and Authority
You must have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent.
If you are using Pracdia services on behalf of a clinic, hospital, doctor, or other organisation, you confirm that you have the authority to bind that organisation to these Terms.
You must provide accurate and complete information when registering for or purchasing our services.
Services Provided
Pracdia may provide services according to the specific package, proposal, quotation, order form, subscription, agreement, or other commercial arrangement accepted by the Client.
Services may include:

AI-powered patient communication;

WhatsApp-based AI Receptionist services;
-
appointment booking and management;
-
patient enquiries and automated responses;
-
clinic and doctor information management;
-
appointment reminders and notifications;
-
website development;
-
digital marketing;
-
online reputation and review-management tools;
-
software and automation solutions;
-
patient engagement systems;
-
integration with third-party platforms;
-
analytics and reporting; and
-
other technology or digital services agreed between Pracdia and the Client.
Pracdia reserves the right to modify, improve, replace, suspend, or discontinue any feature or service, subject to applicable contractual obligations.
AI Receptionist Services
Pracdia's AI Receptionist may communicate with patients and other users on behalf of a Client.
Depending on the service purchased, the AI Receptionist may answer frequently asked questions, provide information supplied by the Client, collect patient enquiries, assist with appointment requests, identify appointment availability, assist with scheduling, send reminders, provide directions or clinic information, and perform other administrative communication functions.
The AI Receptionist is intended primarily for administrative and informational purposes.
The AI Receptionist is not a doctor, medical professional, emergency service, or substitute for professional medical judgment.
AI-generated responses may occasionally be incomplete, inaccurate, outdated, misunderstood, or inappropriate for a particular situation. Neither Clients nor Users should rely solely on an AI-generated response when professional medical assessment or urgent assistance is required.
Medical Information and Medical Advice
Pracdia does not provide medical diagnosis, treatment, medical advice, prescriptions, or emergency medical services through the AI Receptionist or any other Pracdia service.
Where a Client chooses to configure its AI Receptionist to provide information relating to medical treatments, procedures, conditions, medicines, pricing, preparation instructions, or other healthcare matters, the Client is responsible for reviewing and approving the information supplied to the system.
The Client remains solely responsible for the accuracy, legality, appropriateness, and currency of its medical and healthcare-related information.
Users should contact an appropriately qualified healthcare professional for medical advice.
In an emergency or potentially life-threatening situation, Users should contact the appropriate emergency medical services or seek immediate medical attention rather than relying on the AI Receptionist.
Client Responsibility for Information
The Client is responsible for ensuring that all information supplied to Pracdia or configured within its services is accurate, complete, lawful, and up to date.
This includes, where applicable:

doctor names and qualifications;

clinic and hospital information;
-
consultation fees;
-
treatment information;
-
operating hours;
-
appointment availability;
-
cancellation policies;
-
location and contact information;
-
emergency instructions;
-
patient communication content;
-
promotional information; and
-
any other information communicated to Users.
Pracdia is not responsible for errors resulting from inaccurate, incomplete, outdated, or misleading information supplied by the Client.
Appointment Booking
Where the AI Receptionist supports appointment booking, appointments may be created, modified, cancelled, or confirmed based on information and availability provided through the Client's configured systems.
The Client remains responsible for maintaining accurate doctor schedules, appointment availability, holidays, cancellations, and other scheduling information.
Pracdia does not guarantee that an appointment will be attended by a patient or that a patient will receive medical treatment.
Where appointment confirmation, payment, or other actions depend on a third-party platform, the availability and functionality of that third-party platform may affect the service.
Payments and Online Transactions
Where Pracdia facilitates or integrates with online payment services, payments may be processed through third-party payment providers.
Pracdia does not necessarily process, store, or control the payment information submitted directly to such third-party payment providers.
The Client and User agree to comply with the applicable terms and policies of the relevant payment provider.
Unless expressly stated otherwise in writing, Pracdia is not responsible for payment failures, banking delays, transaction reversals, fraudulent transactions, or interruptions caused by third-party payment providers.
WhatsApp and Third-Party Communication Platforms
Certain Pracdia services may operate through WhatsApp, Meta platforms, SMS providers, email providers, payment gateways, calendar systems, hosting providers, AI providers, or other third-party platforms.
The availability and functionality of Pracdia services may therefore depend partly on these third-party services.
Clients and Users may be required to comply with the applicable terms, policies, acceptable-use requirements, messaging rules, and privacy policies of those third parties.
Pracdia is not responsible for changes, restrictions, suspensions, outages, pricing changes, policy changes, API limitations, or other actions taken by third-party platforms.
Patient and Personal Data
The use of Pracdia services may involve the processing of personal information and, depending on the service and Client configuration, information relating to patients.
The Client is responsible for ensuring that it has the appropriate rights, permissions, notices, consents, and lawful basis required to collect and provide such information to Pracdia and to use the relevant communication and technology services.
The Client must not provide Pracdia with information that it is not legally entitled to collect, process, or share.
Pracdia will handle personal information in accordance with its applicable Privacy Policy and any applicable data-processing or service agreement between Pracdia and the Client.
Clients should not use the AI Receptionist as a substitute for their own legal, regulatory, clinical, privacy, or data-security obligations.
Client Data and Content
The Client retains ownership of its Client Content.
By providing Client Content to Pracdia, the Client grants Pracdia the necessary rights and permissions to host, process, transmit, reproduce, modify, display, and otherwise use that content solely to provide, maintain, improve, secure, and support the contracted services, unless otherwise agreed in writing.
The Client represents that it has all necessary rights and permissions to provide such content to Pracdia.
AI Technology and Third-Party AI Providers
Pracdia may use artificial intelligence models, machine-learning systems, cloud infrastructure, APIs, and other third-party technologies to provide its services.
AI systems do not always produce accurate or predictable results.
The Client acknowledges that AI-generated outputs may contain errors, omissions, unexpected responses, or information that is not suitable for a particular circumstance.
The Client is responsible for reviewing and configuring its service appropriately and should implement appropriate human oversight where required.
Pracdia may update, replace, or modify the underlying AI technology used to provide a service.
Human Oversight
Where appropriate, Clients should maintain suitable human oversight of communications generated by the AI Receptionist.
Pracdia may provide tools or functionality that allow Clients to monitor conversations, modify information, intervene in conversations, or manage the AI Receptionist.
However, the extent of such functionality depends on the specific service purchased.
The Client remains responsible for determining the appropriate level of human supervision for its operations.
Prohibited Uses
Clients and Users must not use Pracdia services:

for unlawful activities;
-
to impersonate another person or organisation;
-
to distribute fraudulent or misleading information;
-
to intentionally deceive patients or Users;
-
to provide unauthorised medical advice;
-
to facilitate harassment, abuse, discrimination, or threats;
-
to transmit malicious software;
-
to attempt to gain unauthorised access to systems;
-
to interfere with or disrupt Pracdia services;
-
to violate applicable privacy or data-protection laws;
-
to violate WhatsApp, Meta, payment-provider, AI-provider, or other third-party policies; or
-
for any purpose prohibited by applicable law.
Pracdia reserves the right to suspend or terminate services where it reasonably believes that a service is being misused.
Account Security
Clients are responsible for maintaining the confidentiality and security of their account credentials, passwords, API credentials, access tokens, and other authentication information.
Clients must promptly notify Pracdia if they believe their account or credentials have been compromised.
Pracdia will not be responsible for unauthorised activity resulting from credentials being improperly shared, exposed, or compromised due to the Client's actions or omissions.
Intellectual Property
All intellectual property rights in Pracdia's software, technology, platform, designs, systems, processes, trademarks, branding, documentation, templates, interfaces, and other proprietary materials remain the property of Pracdia or its licensors unless expressly agreed otherwise in writing.
Nothing in these Terms transfers ownership of Pracdia's intellectual property to the Client.
The Client receives only the rights necessary to use the applicable services during the applicable subscription or service period.
Client Materials
The Client retains ownership of materials supplied by the Client.
The Client grants Pracdia permission to use those materials as reasonably necessary to provide the contracted services.
The Client represents that its materials do not infringe the intellectual property, privacy, contractual, or other rights of any third party.
Fees and Payment Terms
Fees for Pracdia services will be communicated through the applicable quotation, proposal, order form, invoice, subscription, or other commercial agreement.
Unless otherwise agreed in writing:

setup or implementation fees are payable according to the agreed payment schedule;
-
recurring subscription fees are payable on the agreed billing date;
-
applicable taxes may be charged in addition to stated prices;
-
overdue payments may result in suspension of services; and
-
Pracdia may charge applicable fees for additional work or services outside the agreed scope.
The Client remains responsible for payment of all fees incurred under its agreement with Pracdia.
Refunds and Cancellation
Refund, cancellation, and termination conditions may vary depending on the service purchased and the applicable commercial agreement.
Unless otherwise agreed in writing, fees already paid for completed setup, development, implementation, configuration, or other services may not be refundable.
Where a recurring subscription is cancelled, cancellation will generally take effect at the end of the applicable paid billing period unless otherwise agreed.
Any outstanding amounts owed to Pracdia remain payable following cancellation or termination.
Service Availability
Pracdia aims to provide reliable and continuous services but does not guarantee uninterrupted or error-free operation.
Services may occasionally become unavailable because of maintenance, upgrades, technical problems, internet connectivity, hosting failures, third-party platform failures, API changes, security incidents, or circumstances beyond Pracdia's reasonable control.
Pracdia may perform scheduled or emergency maintenance when necessary.
Third-Party Services
Pracdia may rely on third-party providers for hosting, artificial intelligence, messaging, WhatsApp integration, payment processing, analytics, authentication, databases, calendars, email, SMS, and other infrastructure.
Pracdia does not control the operation of third-party services and cannot guarantee their continued availability or functionality.
Changes made by third-party providers may require Pracdia to modify, replace, or discontinue certain features.
Where a third-party service becomes unavailable or materially changes its functionality, Pracdia will make reasonable efforts to provide an alternative where commercially and technically feasible.
Limitation of Liability
To the maximum extent permitted by applicable law, Pracdia will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or business interruption arising from the use of or inability to use our services.
Pracdia will not be responsible for losses arising from:

inaccurate Client information;
-
incorrect or incomplete appointment information;
-
AI-generated responses;
-
actions or decisions taken by patients based on AI-generated information;
-
missed appointments;
-
patient no-shows;
-
third-party platform outages;
-
WhatsApp or Meta restrictions;
-
payment-provider failures;
-
internet or telecommunications failures;
-
unauthorised access caused by compromised Client credentials; or
-
circumstances outside Pracdia's reasonable control.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
No Guarantee of Business Results
Pracdia may provide technology, marketing, automation, reputation-management, or patient-engagement services intended to improve operational efficiency, patient communication, or online presence.
However, Pracdia does not guarantee any specific number of leads, appointments, patients, reviews, revenue, conversions, or business results unless expressly agreed in writing.
Business results may depend on factors outside Pracdia's control.
Indemnification
To the maximum extent permitted by applicable law, the Client agrees to indemnify and hold harmless Pracdia, its directors, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

the Client's use of the services;

Client Content;
-
inaccurate or misleading information supplied by the Client;
-
violation of applicable law;
-
violation of third-party rights;
-
misuse of the AI Receptionist;
-
unauthorised medical or healthcare claims made through Client-configured content; or
-
breach of these Terms by the Client.
Suspension and Termination
Pracdia may suspend or terminate access to services where:
-
fees remain unpaid;
-
the Client materially breaches these Terms;
-
the service is being used unlawfully;
-
the Client violates applicable third-party platform policies;
-
the Client presents a material security or operational risk;
-
continued service may expose Pracdia to legal or regulatory risk; or
-
suspension is reasonably necessary to protect Pracdia, its infrastructure, Clients, or Users.
Where reasonably practicable, Pracdia may provide notice before suspension or termination.
Effect of Termination
Upon termination, the Client's right to use the applicable Pracdia service will cease.
Subject to applicable law and the applicable service agreement, Pracdia may retain certain information where required for legal, regulatory, security, accounting, dispute-resolution, or legitimate business purposes.
Specific data deletion procedures are described in Pracdia's Privacy Policy and applicable data-processing arrangements.
Confidentiality
Each party agrees to take reasonable measures to protect confidential information received from the other party.
Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law or lawful authority.
Privacy
Your use of Pracdia services is also governed by our Privacy Policy.
Our Privacy Policy explains how we collect, use, store, disclose, and protect personal information and how individuals may exercise applicable privacy and data rights.
By using our services, you acknowledge that you have read the applicable Privacy Policy.
Changes to Services
Pracdia may add, modify, remove, or replace features of its services from time to time.
Where a change materially affects an existing paid service, Pracdia will make reasonable efforts to provide appropriate notice where required.
Changes to These Terms
Pracdia may update these Terms from time to time to reflect changes to our services, technology, legal requirements, or business practices.
The updated Terms will be published on our website with a revised "Last Updated" date.
Your continued use of the services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to any mandatory dispute-resolution requirements applicable by law, disputes arising from these Terms or the use of Pracdia services shall be subject to the jurisdiction of the competent courts in India having jurisdiction over Pracdia Private Limited.
Force Majeure
Pracdia shall not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, government actions, telecommunications failures, internet outages, cyber incidents, infrastructure failures, third-party service interruptions, war, civil unrest, strikes, epidemics, pandemics, or other unforeseen events.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to remain in effect to the maximum extent permitted by law.
Entire Agreement
These Terms, together with any applicable quotation, proposal, order form, service agreement, Privacy Policy, and other written agreements between Pracdia and the Client, constitute the agreement governing the relevant services.
Where there is a conflict between these Terms and a specific written service agreement, the specific written agreement will prevail to the extent of the conflict.
